Fusinite Ltd Terms and Conditions

These Terms and Conditions govern the use of the Fusinite Ltd website, digital portal, sample submission workflow, analytical interpretation services, digital reporting, digital verification pages, QR codes, membership services, and related services.

Fusinite Ltd is a company registered in England and Wales under company number 16000313. Its registered office is 20 Cavalry Gardens, London, England, SW15 2QQ.

By creating an account, placing an order, submitting sample information, using a Fusinite generated shipping workflow, accessing the Fusinite digital portal, viewing a digital report, using a QR code, sharing a verification link, purchasing a membership, or using any Fusinite service, the Client agrees to these Terms and Conditions.

1. Definitions

In these Terms and Conditions, the following meanings apply.

Fusinite, we, us, or our means Fusinite Ltd.

Client, you, or your means the person, company, project developer, producer, buyer, registry, verifier, consultant, researcher, or other entity using Fusinite services.

Digital portal means the online Fusinite system used for orders, sample submission, reporting, analytical interpretation, digital verification, QR code access, account management, membership, communication, and related functions.

Sample means any biochar, biocarbon, biomass, soil, carbon rich material, or other material submitted for analysis through the Fusinite workflow.

Laboratory means an independent third party laboratory selected by Fusinite to perform analytical work.

Analytical data means measurements, observations, test results, method outputs, laboratory files, and related data generated by an independent laboratory.

Fusinite interpretation means Fusinite’s scientific interpretation, calculation, benchmarking, digital report structure, data visualization, quality interpretation, model output, or explanatory text based on analytical data and other information available to Fusinite.

Digital report means the online report, dashboard, analytical summary, interpretation page, verification record, or related digital output made available through the Fusinite digital portal.

Digital verification page means a webpage, QR code destination, verification link, digital product passport, or related public or restricted webpage used to verify selected sample related information.

Metadata means sample related information, analytical information, derived values, model outputs, benchmark values, method information, facility or batch descriptors, production descriptors, account activity, order information, and digital portal usage information.

Membership means a paid or free account plan made available by Fusinite.

Terms means these Terms and Conditions.

2. Fusinite’s role

Fusinite is a digital coordination, scientific interpretation, reporting, and verification service.

Fusinite is not a laboratory. Unless expressly stated in writing, Fusinite does not itself perform laboratory testing, sample preparation, sample handling, chemical measurement, microscopic measurement, instrumental analysis, or laboratory quality control.

Fusinite selects independent third party laboratories to perform analytical work. Fusinite may coordinate sample routing, receive analytical data, process analytical data, interpret analytical data, generate digital reports, provide digital verification pages, and make selected information available through QR codes or other digital tools.

The independent laboratory is responsible for the laboratory work it performs. This includes sample receipt at the laboratory, laboratory handling, laboratory preparation, measurement, instrumental operation, quality control, method execution, laboratory data generation, and laboratory reporting.

Fusinite is responsible only for the Fusinite interpretation and digital services that it directly provides, subject to these Terms.

3. Nature of Fusinite services

Fusinite provides analytical interpretation and digital verification services for carbon rich materials, including biochar and biocarbon.

Fusinite services may include sample registration, laboratory routing, analytical package selection, digital reporting, scientific interpretation, digital verification pages, QR codes, digital product passport functions, benchmarking, membership benefits, and online consultations.

Fusinite does not provide carbon credit issuance, registry approval, MRV approval, regulatory approval, financial valuation, insurance approval, investment advice, tax advice, legal advice, or commercial certification of carbon credits.

Fusinite reports and digital verification outputs are technical and scientific information tools. They do not guarantee any carbon credit value, carbon credit issuance, carbon price, registry acceptance, buyer acceptance, regulatory acceptance, project eligibility, financing outcome, product marketability, or commercial result.

Registries, MRV bodies, regulators, buyers, project developers, insurers, lenders, and other third parties remain responsible for their own decisions, calculations, methodologies, approvals, and use of Fusinite outputs.

4. No certification language

Fusinite does not issue legal, regulatory, financial, or carbon credit certification.

Any use of terms such as digital verification, digital report, analytical interpretation, Fusinite Lens, QR code, verification page, product authentication, or digital product passport refers only to Fusinite’s digital and scientific interpretation service. It does not mean that Fusinite certifies a carbon credit, certifies a project, certifies a production batch, certifies regulatory compliance, or guarantees acceptance by any third party.

5. Client eligibility

Fusinite services may be used by companies, professional users, researchers, institutions, and individuals.

Where a Client uses Fusinite services for business, commercial, professional, research, carbon credit, investment, registry, buyer, supplier, or project development purposes, the Client confirms that they are acting in a professional or commercial capacity.

Where a Client uses Fusinite services as an individual consumer, mandatory consumer rights may apply. Nothing in these Terms limits any consumer right that cannot legally be excluded.

6. Account creation and Client responsibility

The Client is responsible for maintaining accurate account information.

The Client must ensure that all names, company details, billing details, contact details, sample descriptions, production details, batch details, shipping details, and supporting information submitted to Fusinite are accurate, complete, lawful, and not misleading.

The Client is responsible for all activity under its account.

Fusinite may suspend or restrict access to an account if Fusinite reasonably believes that account information is inaccurate, payment is overdue, sample information is misleading, the account is being misused, or continued access may create legal, scientific, commercial, technical, or reputational risk.

7. Sample selection and representativeness

The Client is solely responsible for selecting the sample.

The Client is solely responsible for sampling method, sample representativeness, sample homogeneity, sample splitting, sample collection date, production batch identity, production location, production conditions, chain of custody before laboratory receipt, sample storage before shipment, sample handling before shipment, and all information linked to the sample.

Fusinite does not verify whether a sample is representative of any production batch, production lot, facility, product line, project, shipment, carbon credit issuance, commercial claim, or time period.

Each Fusinite digital report and verification output applies only to the submitted sample and the sample ID assigned to that sample.

A Fusinite digital report must not be used to represent any other sample, batch, shipment, production period, facility, project, product, or carbon credit issuance unless this is expressly stated in the digital report.

8. Sample condition, contamination, and cross contamination

The Client is solely responsible for the condition of the sample before it is received by the assigned laboratory.

Fusinite is not responsible for contamination, cross contamination, degradation, moisture change, oxidation, biological alteration, mixing, substitution, mislabelling, incorrect packaging, incorrect sample weight, incorrect sample identity, or any other condition affecting the sample before laboratory receipt.

Fusinite is not responsible for any difference between the submitted sample and the material that the Client intended to represent.

Fusinite may reject, delay, cancel, or require resubmission of any sample if the sample is incorrectly labelled, incorrectly packaged, insufficient in quantity, unsafe, leaking, contaminated, inconsistent with the order, inconsistent with the declared material, or unsuitable for the selected analytical package.

8A. False, misleading, unsuitable, or non conforming samples

The Client is solely responsible for ensuring that the sample is accurately described and that all information submitted to Fusinite is true, complete, and not misleading.

If Fusinite or the assigned laboratory determines, suspects, or has reasonable grounds to believe that a sample is not as described, is not biochar or biocarbon, contains fossil carbon, contains undeclared additives, contains contamination, is mixed with another material, is unsafe, is unsuitable for the selected analytical package, is inconsistent with the submitted information, or cannot support a scientifically credible Fusinite interpretation, Fusinite may refuse to issue a digital report, digital verification page, QR code, authentication output, quality designation, or any other public facing output.

In such cases, Fusinite may issue no report, a limited internal note, a non conformance notice, a sample rejection notice, or a restricted technical statement at Fusinite’s discretion.

The Client is not entitled to a refund where Fusinite or the laboratory has already started sample routing, laboratory booking, sample receipt, sample preparation, analysis, data processing, scientific review, interpretation, digital portal work, or other service activity, unless required by mandatory law.

The Client remains responsible for all laboratory costs, Fusinite costs, shipping costs, customs costs, administrative costs, payment fees, and any other costs incurred before the issue was identified.

Fusinite is not obliged to produce, publish, or display a report that Fusinite considers scientifically unreliable, misleading, non credible, non conforming, reputationally risky, legally risky, or likely to be misused.

9. Sample labels and sample ID

Once an order is placed, Fusinite may issue a sample ID, barcode, QR code, tag, label, order number, or other identifier.

The Client is solely responsible for applying the correct identifier to the correct sample.

Fusinite has no responsibility for errors caused by incorrect labels, missing labels, duplicated labels, swapped samples, incorrect sample forms, incorrect sample descriptions, or mismatch between a sample and its digital record.

If a label or sample ID is missing, unclear, damaged, duplicated, inconsistent, or incorrect, Fusinite or the laboratory may reject the sample, delay the analysis, request clarification, or require resubmission. Any resulting cost is the Client’s responsibility.

10. Sample shipment

The Client sends samples directly to the laboratory selected by Fusinite.

Fusinite does not take physical possession of samples unless expressly agreed in writing.

The Client may use a Fusinite generated shipping workflow, including a DHL label where available, or may use its own courier or shipping provider.

In all cases, the Client is solely responsible for sample packaging, labelling, shipping, courier handover, customs declarations, import compliance, export compliance, permits, duties, taxes, shipping restrictions, delivery delay, failed delivery, returned shipments, customs inspection, customs seizure, sample loss, sample damage, leakage, contamination, or destruction during transit.

Use of a Fusinite generated shipping label or DHL workflow does not make Fusinite the shipper, exporter, importer, carrier, customs broker, consignee, or owner of the sample.

Fusinite may assist with shipping logistics. Such assistance does not transfer shipping responsibility to Fusinite.

11. Customs and import compliance

The Client is solely responsible for ensuring that each sample may lawfully be exported from the origin country, imported into the destination country, transported through any transit country, handled by the courier, received by the laboratory, analysed, stored, and disposed of.

The Client is solely responsible for accurate customs descriptions, tariff descriptions, values, origin information, permits, declarations, phytosanitary requirements, biosecurity requirements, hazardous material declarations, and any other import or export documentation.

Fusinite is not responsible for customs delay, customs rejection, customs inspection, customs storage fees, customs penalties, courier penalties, import refusal, export refusal, seizure, destruction, return shipment, or regulatory action related to sample shipment.

12. Hazardous, restricted, or unlawful samples

The Client must not submit hazardous, toxic, infectious, radioactive, explosive, illegal, restricted, controlled, unsafe, contaminated, or otherwise dangerous material unless Fusinite has approved the shipment in writing before dispatch.

The Client must disclose any known or suspected hazard associated with the sample.

Fusinite may reject or cancel any order if Fusinite or the laboratory considers the sample unsafe, unlawful, restricted, unsuitable, or inconsistent with the declared material.

The Client is responsible for all losses, claims, liabilities, penalties, costs, and expenses arising from hazardous, restricted, unlawful, contaminated, leaking, or incorrectly declared samples.

13. Laboratory selection

Fusinite selects the laboratory for each order based on method requirements, laboratory availability, geography, capacity, expertise, operational considerations, or other criteria determined by Fusinite.

The Client does not have a right to select the laboratory unless Fusinite expressly agrees in writing.

Fusinite may change the assigned laboratory at any time before analysis where Fusinite considers this necessary or appropriate.

Fusinite is not responsible for laboratory delay, laboratory backlog, laboratory closure, equipment failure, staffing issues, quality control repeat work, laboratory method deviation, laboratory reporting delay, or other circumstances outside Fusinite’s direct control.

14. Laboratory analytical data

Analytical data is generated by independent third party laboratories.

Fusinite relies on analytical data supplied by those laboratories.

Fusinite is not responsible for any laboratory error, omission, contamination, sample mix up, equipment failure, calibration issue, measurement uncertainty, quality control issue, method deviation, data transfer error, reporting error, delay, or other act or omission of an independent laboratory.

Fusinite may review laboratory outputs for consistency, plausibility, completeness, or scientific interpretation. Such review does not make Fusinite responsible for the laboratory work.

Fusinite may request clarification, repeat measurement, reanalysis, or additional laboratory review where Fusinite considers this necessary. Fusinite is not obliged to do so in every case.

15. Analytical packages and methods

The available analytical packages, methods, sample requirements, prices, turnaround times, and reporting outputs are described on the Fusinite website or digital portal.

Fusinite may change analytical packages, methods, laboratory partners, sample requirements, reporting structures, model outputs, visualizations, and interpretation formats at any time.

Where a method, threshold, benchmark, or interpretation changes, Fusinite may update future reports and may also update existing digital reports where appropriate.

16. Digital reports

Fusinite provides digital reports through the Fusinite digital portal.

Fusinite does not issue fixed PDF reports as the controlling version of the report.

The controlling version of a Fusinite report is the most recent digital version available through the Fusinite digital portal or verification link.

The Client may print, save, download, screenshot, or export information from the digital portal where technically available. Any printed, saved, downloaded, screenshot, or exported copy may become outdated.

The Client is responsible for ensuring that any printed, saved, downloaded, screenshot, exported, forwarded, or shared copy reflects the most recent digital version.

Fusinite recommends that Clients and third parties rely on live digital links, QR codes, and the digital portal rather than static printed or downloaded copies.

17. Updates to reports, models, and values

Fusinite reports, digital verification pages, calculated values, interpretations, permanence related estimates, benchmark outputs, quality classifications, thresholds, and data visualizations are based on the scientific methods, analytical data, models, assumptions, software, laboratory outputs, and digital portal version available at the time of calculation.

Science, standards, regulatory expectations, laboratory methods, benchmark thresholds, algorithms, and calculation models may change over time.

Fusinite may update, revise, recalculate, correct, withdraw, replace, or amend any digital report, value, interpretation, classification, visualization, digital verification page, QR code destination, or derived output where Fusinite considers this scientifically, technically, legally, commercially, or operationally appropriate.

Updates may occur without prior notice.

The most recent digital version supersedes earlier digital versions and any printed, downloaded, saved, or shared copy.

Fusinite may retain version history where technically practicable but is not obliged to maintain every historic display, output, calculation, or visualization indefinitely.

18. Digital verification pages and QR codes

Fusinite may provide QR codes, public verification links, restricted verification links, digital product passport pages, or other digital verification tools.

These tools are designed to allow selected information to be viewed by third parties.

Any information made visible through a QR code, public verification page, shared link, digital product passport, or third party verification interface is deemed non confidential to the extent it is made visible through that interface.

The Client is responsible for deciding whether to share, print, publish, forward, embed, display, or otherwise disclose any QR code, verification link, digital report extract, screenshot, or digital product passport.

Fusinite is not responsible for onward use, copying, interpretation, reliance, redistribution, misquotation, or misuse by third parties who access information through a QR code, verification link, public page, screenshot, printed copy, or forwarded material.

Fusinite may suspend, restrict, correct, update, withdraw, or disable a QR code, verification page, public link, digital product passport, or digital report if Fusinite reasonably believes that the output is outdated, incorrect, misused, misleading, unpaid, subject to dispute, or creates legal, scientific, commercial, regulatory, or reputational risk.

18A. Authentication and refusal of verification

Fusinite digital verification is intended to provide sample specific digital authentication and analytical interpretation of the submitted material.

Where Fusinite provides an authentication or verification output for biochar or biocarbon, that output means only that the submitted sample, as analysed and interpreted through the Fusinite workflow, met the relevant Fusinite criteria at the time of digital reporting.

Fusinite may refuse to issue a digital verification page, QR code, authentication status, quality designation, or digital product passport where the submitted sample does not meet Fusinite’s scientific, technical, authenticity, or data quality requirements.

Fusinite is not required to issue a positive verification output simply because the Client has paid for an order.

Payment is for the analytical workflow and scientific review, not for a guaranteed positive result, authentication status, public verification page, QR code, or marketable claim.

19. No guarantee of third party acceptance

Fusinite does not guarantee that any report, digital verification page, analytical result, interpretation, QR code, benchmark output, or digital product passport will be accepted by any registry, MRV body, standard setter, regulator, buyer, investor, insurer, lender, customer, auditor, consultant, government body, court, or other third party.

Any third party using Fusinite outputs must make its own assessment.

The Client is responsible for determining whether Fusinite outputs are suitable for any intended use.

20. Informational carbon estimates

Fusinite may, now or in the future, display estimated carbon related values, indicative carbon dioxide removal values, permanence related values, or values derived from analytical data.

Unless expressly stated otherwise in writing, such values are provided for information and interpretation only.

Fusinite does not certify carbon credits, issue carbon credits, guarantee creditable carbon, guarantee registry approval, guarantee CO2 removal value, or guarantee financial value.

Registries, MRV bodies, standards, project developers, buyers, and regulators remain responsible for the carbon accounting models, credit issuance decisions, project rules, uncertainty deductions, buffer pools, and commercial use of such values.

21. Client use of reports and verification outputs

The Client may use Fusinite digital reports and verification outputs only for lawful, accurate, and non misleading purposes.

The Client must not alter, manipulate, crop, relabel, misrepresent, selectively quote, or use Fusinite outputs in a way that creates a misleading impression.

The Client must not use a Fusinite report, QR code, verification link, or digital product passport to imply that Fusinite has approved, certified, endorsed, guaranteed, or accepted responsibility for any batch, facility, product, carbon credit, project, commercial claim, environmental claim, financial claim, or regulatory claim unless Fusinite has expressly agreed in writing.

The Client must not use Fusinite’s name, logo, report, QR code, digital verification page, or interpretation in a way that damages Fusinite’s reputation or misrepresents Fusinite’s role.

22. Misuse, suspension, correction, and withdrawal

Fusinite may suspend, correct, update, withdraw, invalidate, or restrict access to any report, interpretation, QR code, verification page, digital product passport, account, membership, or order if Fusinite reasonably believes that any of the following applies.

The sample information was inaccurate, incomplete, or misleading. The sample was not representative of the claimed material. The sample was contaminated, mixed, substituted, or incorrectly labelled. The Client misused or misrepresented Fusinite outputs. The Client made misleading commercial, environmental, regulatory, or carbon credit claims. The laboratory result requires correction or review. The digital report requires recalculation or updating. Payment is overdue. The Client breached these Terms. Continued access may expose Fusinite or others to legal, scientific, technical, commercial, regulatory, or reputational risk.

23. Turnaround times

Any turnaround time shown on the Fusinite website, digital portal, order page, email, WhatsApp message, or other communication is an estimate only.

Turnaround time starts only when the correct sample is received by the assigned laboratory in acceptable condition, with correct labelling, correct documentation, and completed payment.

Fusinite is not responsible for delays caused by Client error, missing information, incorrect sample ID, incorrect packaging, courier delay, customs delay, import issues, laboratory backlog, laboratory quality control repeat work, equipment failure, force majeure, software issues, payment delay, or any other matter outside Fusinite’s direct control.

Delay does not entitle the Client to a refund unless Fusinite expressly agrees in writing or a mandatory consumer right applies.

24. Payment

Fees are payable at the time of order unless Fusinite expressly agrees otherwise in writing.

Fusinite may withhold sample routing, digital reports, verification pages, QR codes, consultations, membership benefits, or account access until payment is received in full.

The Client is responsible for all applicable taxes, VAT, customs duties, import duties, payment processing fees, bank fees, currency conversion fees, chargeback costs, and other transaction costs unless expressly stated otherwise.

Fusinite may use third party payment providers. Fusinite is not responsible for payment provider outages, payment delays, declined payments, fraud checks, card issuer decisions, bank charges, or payment processing errors outside Fusinite’s direct control.

25. Pricing

Prices are displayed on the Fusinite website or digital portal.

Fusinite may change prices, analytical package fees, shipping workflow fees, consultation fees, membership fees, discounts, and promotional offers at any time.

For one time orders, the price payable is the price displayed at checkout at the time the order is placed, unless there is an obvious pricing error.

For memberships, Fusinite may change future membership fees by giving reasonable notice where required by law or by the payment provider. Continued use of the membership after a fee change takes effect constitutes acceptance of the updated fee.

Fusinite should not say membership fees may change without notice for all users. The safer position is that displayed prices may change at any time, while recurring subscription changes take effect after notice where legally required.

26. Refunds and cancellation

Fees are non refundable once Fusinite has started sample routing, laboratory coordination, laboratory booking, laboratory analysis, data processing, interpretation, digital report preparation, digital portal work, or consultation preparation.

If the Client cancels before work has started, Fusinite may provide a refund at its discretion, less any payment processing fees, administrative costs, shipping label costs, laboratory booking costs, or other costs already incurred.

If a sample is rejected because of incorrect packaging, insufficient quantity, missing label, unsafe condition, incorrect documentation, customs issue, failed delivery, or Client error, Fusinite is not obliged to refund the order.

No refund will be due where the sample is rejected, not reported, not verified, or not authenticated because the sample was incorrectly described, falsely declared, contaminated, mixed, substituted, non representative, unsafe, unsuitable, non conforming, not biochar or biocarbon, suspected of containing fossil carbon, or otherwise unable to support a scientifically credible Fusinite output, except where mandatory law requires otherwise.

This applies even where the Client expected a report, QR code, digital verification page, authentication result, or quality designation. Fusinite may charge additional fees for repeat analysis, replacement samples, re routing, re interpretation, or further review.

Where the Client is a consumer, mandatory cancellation rights may apply. However, the Client acknowledges that where services begin during any cancellation period with the Client’s request or consent, refund rights may be reduced or lost to the extent permitted by law.

27. Memberships

Fusinite may offer free and paid memberships.

Membership benefits may include discounted analytical packages, access to selected digital portal functions, consultation benefits, benchmark features, reporting features, or other benefits described on the website.

Membership benefits may change over time.

Paid memberships renew automatically unless cancelled in accordance with the membership terms shown at checkout or in the Client account.

The Client is responsible for cancelling a membership before the next billing date if the Client does not wish to continue.

Fusinite may change membership prices, benefits, renewal terms, or discount structures. Where legally required, Fusinite will give notice before changes apply to an existing paid membership.

Failure to use membership benefits does not entitle the Client to a refund.

Fusinite may suspend or terminate membership benefits for non payment, misuse, breach of these Terms, or conduct that creates legal, scientific, commercial, operational, or reputational risk.

28. Consultations

Fusinite may provide online consultations to explain analytical results, digital reports, scientific interpretation, or general technical matters.

Consultations are informational only.

Consultations do not constitute legal advice, financial advice, investment advice, tax advice, regulatory advice, carbon credit certification, registry approval, or guaranteed commercial guidance.

The Client remains responsible for decisions made after a consultation.

29. Data collection

Fusinite may collect and process personal data, company data, account data, billing data, order data, sample data, analytical data, metadata, derived values, benchmark outputs, model outputs, digital report data, digital portal usage data, and communication data.

Fusinite processes personal data in accordance with applicable data protection laws and its Privacy Policy.

The Privacy Policy should be read together with these Terms.

30. Personal data and data protection

Fusinite will process personal data for purposes including account creation, service delivery, payment administration, communication, sample workflow management, reporting, verification, legal compliance, security, fraud prevention, research administration, and business operations.

Clients may have rights to access, correct, delete, restrict, object to processing, or request transfer of personal data, subject to applicable law.

Fusinite may retain personal data and service records where necessary for legal compliance, dispute handling, audit purposes, tax records, regulatory records, security, or legitimate business purposes.

Fusinite may share personal data with service providers where necessary, including payment providers, courier providers, IT providers, professional advisers, and laboratories where required for service delivery.

31. Use of metadata, aggregated data, and anonymized data

Fusinite may use sample data, analytical metadata, derived metrics, benchmark values, model outputs, digital report structures, digital portal usage data, and related information for research, development, calibration, benchmarking, machine learning, model improvement, quality control, software improvement, statistical analysis, scientific publication, educational material, commercial product development, and internal business purposes.

Fusinite may use aggregated or anonymized data without further consent where the Client, facility, project, person, or company is not reasonably identifiable.

Fusinite may not publicly identify the Client as the source of sample data without the Client’s consent unless the information is already public or disclosure is legally required.

Where data cannot reasonably be anonymized because of unique sample characteristics, facility identity, project identity, batch identity, location, or other contextual information, Fusinite will treat such data as confidential unless disclosure is permitted under these Terms or authorized by the Client.

Pseudonymized data may still be personal data where a person remains identifiable. Fusinite will treat such data in accordance with applicable data protection laws where required.

32. Confidential information

Fusinite will take reasonable steps to protect Client confidential information.

Confidential information does not include information that is public, independently developed by Fusinite, lawfully received from another source, made public by the Client, visible through a shared QR code or verification page, required to be disclosed by law, or disclosed with the Client’s consent.

The Client acknowledges that digital verification pages, QR codes, public links, digital product passports, and shared report extracts are intended for third party viewing. Information visible through such tools is not confidential to the extent made visible.

33. Third party access

Third parties may access Fusinite digital verification pages, QR code destinations, public links, or restricted links where such access is enabled.

Third party access is provided for verification and information only.

Fusinite does not accept responsibility for third party reliance unless Fusinite has a separate written agreement with that third party.

A third party must not use Fusinite outputs to make misleading claims, reverse engineer Fusinite methods, misuse Client information, or imply that Fusinite has approved a commercial, financial, regulatory, or carbon credit decision.

34. Intellectual property

Fusinite owns all intellectual property rights in its website, digital portal, software, report structure, interpretation format, visualizations, benchmark tools, algorithms, model structures, databases, trademarks, logos, text, graphics, workflows, QR code systems, digital verification systems, and related materials.

The Client receives a limited, revocable, non exclusive, non transferable licence to access and use Fusinite outputs for lawful internal, technical, commercial, and verification purposes, subject to these Terms.

The Client must not copy, scrape, reverse engineer, reproduce, modify, resell, sublicense, train competing models on, or commercially exploit Fusinite systems, methods, report structures, visualizations, software, databases, or outputs except as expressly allowed by Fusinite in writing.

35. Website and digital portal availability

Fusinite aims to maintain access to its website, digital portal, digital reports, QR codes, and verification pages, but does not guarantee uninterrupted access.

Access may be interrupted, restricted, suspended, or unavailable because of maintenance, updates, cyber incidents, software failure, hosting provider issues, third party service failure, payment issues, legal compliance, security concerns, misuse, or force majeure.

Fusinite is not liable for loss arising from temporary or permanent unavailability of the website, digital portal, digital reports, QR codes, verification pages, or third party integrations, except where liability cannot legally be excluded.

36. Security

The Client must not attempt to interfere with Fusinite systems, access unauthorized data, bypass security controls, scrape data, overload systems, introduce malware, misuse APIs, or use the digital portal in a way that harms Fusinite or other users.

Fusinite may suspend access immediately where it suspects security misuse, unauthorized access, fraud, scraping, cyber risk, or breach of these Terms.

37. Third party services

Fusinite services may rely on third party laboratories, couriers, payment providers, hosting providers, analytics providers, email providers, software providers, and other service providers.

Fusinite is not responsible for third party service failures, outages, delays, errors, security incidents, or acts or omissions outside Fusinite’s direct control.

38. Client warranties

The Client warrants that the Client has authority to place the order.

The Client warrants that the sample may lawfully be shipped, imported, handled, analysed, stored, and disposed of.

The Client warrants that the sample is correctly described and not falsely declared.

The Client warrants that the sample is biochar, biocarbon, or the material category declared by the Client.

The Client warrants that the sample is not knowingly mixed, substituted, contaminated, or misrepresented.

The Client warrants that the sample is not hazardous or restricted unless disclosed and approved in writing.

The Client warrants that all submitted information is accurate, complete, lawful, and not misleading.

The Client warrants that the Client has the right to submit the sample.

The Client warrants that the Client has complied with applicable sampling, shipping, customs, safety, environmental, biosecurity, and import rules.

The Client warrants that the Client will not misuse Fusinite reports, QR codes, digital verification pages, or interpretations.

The Client warrants that the Client will not use Fusinite outputs to make misleading environmental, commercial, regulatory, financial, or carbon credit claims.

39. Indemnity

Where the Client acts for business, commercial, professional, research, project, registry, buyer, supplier, or institutional purposes, the Client shall indemnify Fusinite against all losses, claims, damages, liabilities, penalties, costs, and expenses arising from incorrect, incomplete, or misleading information supplied by the Client.

This indemnity also applies to incorrect sample identity, label, batch information, or production information; unrepresentative sampling; contamination, cross contamination, or unsafe sample condition; unlawful, hazardous, restricted, or incorrectly declared samples; shipping, customs, import, export, courier, or delivery issues; misuse or misrepresentation of Fusinite outputs; misleading environmental, carbon credit, financial, regulatory, buyer, or product claims; third party reliance caused by the Client’s use, sharing, publication, or disclosure of Fusinite outputs; or breach of these Terms.

This indemnity specifically includes false declaration, misdescription, contamination, mixing, substitution, non conformance, suspected fossil carbon content, or submission of a material that is not the declared sample type.

This indemnity does not apply to the extent that the loss is caused directly by Fusinite’s fraud, wilful misconduct, or liability that cannot legally be excluded.

40. Limitation of liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the paragraph above, Fusinite is not liable for indirect, consequential, special, exemplary, punitive, or economic losses, including loss of profit, loss of revenue, loss of contract, loss of carbon credit value, loss of market opportunity, loss of goodwill, loss of data, loss of production, loss of certification, loss of registry acceptance, loss of regulatory approval, loss of buyer acceptance, or third party claims.

Subject to the first paragraph of this section, Fusinite is not liable for losses arising from sample representativeness, sampling method, sample contamination or cross contamination, sample labelling errors, shipping, customs, courier, import, or export issues, laboratory errors or delays, third party service failures, Client misuse of reports or verification pages, outdated printed or downloaded copies, changes to scientific models, standards, methods, or interpretations, or third party reliance on Fusinite outputs.

Fusinite is not liable for losses arising from refusal to issue, suspension, correction, or withdrawal of a digital report, QR code, authentication output, quality designation, or verification page where Fusinite reasonably considers the sample or related information to be false, misleading, non conforming, contaminated, mixed, substituted, suspected of fossil carbon, or scientifically non credible.

Subject to the first paragraph of this section, Fusinite’s total aggregate liability arising from or relating to a specific order shall not exceed the amount paid by the Client to Fusinite for that specific order.

For paid memberships, Fusinite’s total aggregate liability arising from or relating to membership services shall not exceed the membership fees paid by the Client during the three months before the event giving rise to the claim.

41. Consumer rights

Where the Client is a consumer, nothing in these Terms affects mandatory legal rights that cannot be excluded.

If any term is found to be unfair or unenforceable against a consumer, that term will apply only to the maximum extent permitted by law, and the remaining Terms will continue to apply.

The Consumer Rights Act 2015 includes rules on consumer contracts, digital content, services, and unfair terms. Fusinite should therefore avoid relying on absolute exclusions against individual consumers.

42. Force majeure

Fusinite is not responsible for delay, failure, interruption, or non performance caused by events outside its reasonable control.

Such events may include courier disruption, customs delay, laboratory closure, equipment failure, supply chain disruption, strikes, war, terrorism, civil unrest, epidemic, pandemic, fire, flood, extreme weather, natural disaster, cyberattack, power failure, internet failure, hosting failure, government action, regulatory change, or force majeure affecting laboratories, couriers, software providers, or other third parties.

43. Termination

Fusinite may suspend or terminate an account, order, membership, report access, QR code, verification page, or digital portal access if the Client breaches these Terms, fails to pay, misuses Fusinite outputs, submits misleading information, creates legal or reputational risk, or uses Fusinite services unlawfully.

The Client may stop using Fusinite services at any time, subject to payment obligations, cancellation rules, and any work already started.

Termination does not affect rights and obligations that should reasonably continue, including payment obligations, intellectual property rights, confidentiality, data retention, disclaimers, indemnities, and limitations of liability.

44. Data retention

Fusinite may retain account records, order records, sample records, analytical data, metadata, digital reports, verification records, payment records, communication records, and technical records for as long as reasonably necessary for service delivery, research, legal compliance, dispute handling, audit, tax, security, scientific record keeping, and legitimate business purposes.

Fusinite may retain anonymized or aggregated data indefinitely.

45. Changes to these Terms

Fusinite may update these Terms from time to time.

The updated Terms will be posted on the Fusinite website or digital portal.

Continued use of Fusinite services after updated Terms are posted constitutes acceptance of the updated Terms, except where additional notice or consent is legally required.

For existing paid memberships, material changes affecting recurring fees or core membership benefits will be handled in accordance with applicable law and payment provider requirements.

46. Notices

Fusinite may send notices by email, digital portal message, website notice, account notification, invoice note, or other reasonable method.

The Client is responsible for keeping contact details up to date.

47. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales.

The parties will first attempt to resolve any dispute in good faith through written communication.

If a dispute cannot be resolved informally, the courts of England and Wales shall have jurisdiction, except where mandatory consumer law gives a consumer the right to bring proceedings elsewhere.

48. Entire agreement

These Terms, together with the Privacy Policy, order details, checkout terms, membership terms, and any specific written agreement signed by Fusinite, form the agreement between Fusinite and the Client.

If there is a conflict between these Terms and a specific written agreement signed by Fusinite, the signed written agreement will prevail to the extent of the conflict.

49. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining Terms will continue in effect.

Appendix A. Checkout acknowledgement text

·       I confirm that the sample information I provided is accurate and complete.

·       I confirm that the sample is lawful to ship, import, handle, analyse, store, and dispose of.

·       I confirm that I am responsible for sample selection, sampling method, representativeness, packaging, labelling, shipping, customs documentation, and any customs or courier delays.

·       I understand that fees are not refundable once work has started, including sample routing, laboratory booking, laboratory receipt, analysis, data processing, scientific review, or digital portal work, except where mandatory law requires otherwise.

·       I agree to Fusinite’s Terms and Conditions and Privacy Policy.

Appendix B. Digital report disclaimer

This digital report applies only to the submitted sample identified in this report. Fusinite is not responsible for sample selection, sampling method, representativeness, packaging, labelling, shipping, customs, laboratory errors, false declarations, contamination, cross contamination, sample substitution, or third party use of this report. Fusinite is not a laboratory. Analytical work is performed by independent third party laboratories. This report provides analytical interpretation and digital verification only. It does not certify carbon credits, guarantee registry or MRV acceptance, or determine financial value. Fusinite may refuse or withdraw public verification where a sample is non conforming, misdescribed, contaminated, mixed, not biochar or biocarbon, suspected of containing fossil carbon, or scientifically non credible.
